These Terms and Conditions (“Terms”) apply when you access or use any Loophole’s platform, website, software, tool, service, documentation, content, or AI-powered features (collectively, “Services”). These Terms are a legally-binding agreement between you and Loophole LLC (“Loophole,” “we,” “our,” or “us”). By using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.
Defined Terms
The following capitalized terms are used throughout these Terms and have the meanings assigned below. Additional terms may be defined elsewhere in context.
- Problem Statement: The core objective, scope, and constraints of a workflow or service request, as recorded by Loophole during intake, confirmed by user action, or memorialized through interface prompts or written confirmation.
- Tool Action: A discrete unit of work executed by Loophole’s platform or staff in response to a user request – such as sending an email, generating a letter, making a phone call, running a search, or preparing a submission. Tool Actions may be manual, semi-automated, or fully automated, and may be billed individually or in bundled form.
- Autoplay: A user-enabled feature that allows pre-authorization of sequential or scheduled Tool Actions based on predefined rules or conditions. Autoplay does not override Loophole’s right to pause, modify, or cancel queued actions at its discretion.
- Console: Any user-facing interface within the Loophole platform designed for executing specific types of Tool Actions – such as the API Console, Browser Console, Code Console, Compose Console, Create Console, Email Console, Fax Console, Mail Console, Persona Console, Phone Console, or Research Console.
- Service Window: The operational timeframe during which a specific workflow or request remains active, open to updates, and eligible for Tool Actions. The Service Window may close upon resolution, expiration, or refusal.
- Available Account Balance (“Balance”): The prepaid, non‑refundable amount you have on account with Loophole, funded by you via any accepted payment method (ex: card, ACH, crypto). Your Balance is used to pay monthly account fees, Services, Tool Actions, subscriptions, and platform fees. Except where required by law, all amounts added to your Balance are final and non‑refundable.
- Tool Action Credit (“TAC”): The internal, non-cash currency issued by Loophole – whether through platform promotions, bug bounty rewards, error adjustments, or other discretionary means. Loophole Credit may be used to pay for Services, Tool Actions, subscriptions, or platform fees. It has no cash value, is non-transferable, and is non-refundable under all circumstances.
- Promotional Credit: A discretionary, non‑cash, non‑transferable, non‑refundable credit Loophole may issue (ex: bug bounties, goodwill, error adjustments, promotions). Promotional Credit can be used exactly like cash within the platform, but has no cash value, cannot be withdrawn, and may be revoked or expire at Loophole’s discretion. Promotional Credit is tracked inside your Available Credit Balance but is not user‑funded.
- AI Solutions: AI-powered, self-serve modules within the Loophole platform designed to provide rapid outputs or draft strategies without manual staff involvement. Access to AI Solutions is not guaranteed and may be subject to eligibility checks, risk gating, or manual approval.
- Rate Limiting: The system-level enforcement of maximum action thresholds – such as the number of emails, calls, or submissions allowed per timeframe – to prevent abuse, spam, or overuse of automation features.
- Escalation Request: A user request that seeks to intensify, reframe, or expand the scope of an existing Problem Statement – often requiring a new strategy, additional Tool Actions, or a revised service fee.
- Your AI (also branded as “{FirstName} AI” within your account): A user-personalized communication assistant powered by Loophole’s AI systems that mirrors your preferred tone, style, and communication preferences to draft messages, scripts, or other content. Your AI does not make legal or strategic decisions and operates solely under your review, approval, and direction.
- Loophole AI & Tools: A packaged service priced at $150, which includes 10 Tool Action Credits. Additional Tool Action Credits may be purchased using your Balance at $10 each once the initial 10 are consumed.
Important Notice – No Legal Services Provided
Loophole is not a law firm. We do not draft legal documents, file claims, represent you in court, or provide legal opinions. All outputs – whether AI-generated or human-curated – are offered strictly for informational and strategic purposes, focused on platform policies, procedural systems, and non-legal workarounds. We do not act on your behalf in legal matters, and any communications sent through our tools (ex: calls, emails, snail mail, etc) are initiated and controlled by you.
No attorney-client relationship arises from your use of Loophole, our platform, or any communication with our team. Laws vary by jurisdiction, and only a licensed attorney can provide advice tailored to your situation. You agree not to rely on Loophole for legal, financial, medical, or regulatory decisions, and to obtain appropriate professional counsel when needed. All actions you take using our tools are done at your own direction and risk.
Unauthorized Practice of Law (UPL) Compliance
Loophole, including its affiliates, employees, contractors, AI systems, and automated tools, does not engage in the practice of law. Our platform is a technology service that empowers you to act on your own behalf. You – not Loophole – are the sender, author, and decision‑maker for every communication generated or delivered through our system.
How Our Tools Work
- Automation, NOT Representation. Tools such as API Console, Browser Console, Code Console, Compose Console, Create Console, Email Console, Fax Console, Mail Console, Persona Console, Phone Console, and other features generate drafts, scripts, or automated deliveries based exclusively on the information you provide. These tools function like a printing press or telephone dialer: they execute your instructions but do not make legal judgments or act as your attorney.
- User Review & Control. You must review, edit, approve, or pause every draft or outbound action before it is sent. No message, call, letter, or request is transmitted without your explicit authorization, and you may cancel any pending action at any time.
- Your AI Personalization Layer. When enabled, Your AI applies stylistic and tone adjustments to outputs generated using Loophole’s tools. Your AI does not initiate, send, or execute communications without your review and explicit approval. You remain the author and sender of all content generated or adapted through Your AI.
- No Legal Filings. Loophole’s tools do not create or file pleadings, cease‑and‑desist letters, or other legal documents intended to secure legal remedies. If you choose to adapt any draft into a legal demand, you do so at your own discretion and risk.
What Loophole Does Not Do
Loophole, its staff, and its technology do not:
- Interpret or apply statutes, regulations, or case law to specific facts;
- Draft contracts, pleadings, settlement agreements, or legal correspondence for third‑party use;
- Provide legal advice, opinions, or strategy tailored to your rights or obligations;
- Negotiate, advocate, or communicate with courts, agencies, or opposing parties on your behalf;
- Hold ourselves out, in any jurisdiction, as attorneys, law firms, or legal representatives.
Your Responsibility to Obtain Legal Counsel
If your situation requires legal interpretation, formal demand letters, litigation, or any other regulated legal activity, you must consult a licensed attorney in the relevant jurisdiction. Reliance on Loophole’s tools or informational content without independent legal review is at your own risk.
By using our platform you acknowledge and agree that:
- Loophole is a technology provider, not a law firm;
- All actions taken through our system are initiated and controlled exclusively by you; and
- You remain solely responsible for compliance with applicable laws, regulations, and professional rules.
Scope of Services
Loophole provides both human-guided and AI-assisted services designed to help users pursue lawful, policy-based strategies in complex or restricted environments. Our Services are tailored for individuals, businesses, and organizations that face unusual constraints or roadblocks and need creative, rules-aligned ways forward.
Most Services do not come with a guaranteed outcome. Many of our offerings involve third-party decisions, and success may depend on factors outside our control – such as timing, jurisdiction, platform discretion, or policy interpretation. As such, results vary and are not guaranteed.
Some Services may include a written guarantee. If a specific Service explicitly includes a success guarantee – such as “100% Success Guarantee” – that guarantee will apply only to that Service and only under the terms stated at the time of purchase. If no guarantee is stated in writing, the Service is provided on a best-effort, non-refundable basis.
Automation Tools
Loophole provides a set of automation tools (“Tools”) that allow users to generate, schedule, and deliver communications based on their own input and direction. These Tools include – but are not limited to – API Console, Browser Console, Code Console, Compose Console, Create Console, Email Console, Fax Console, Mail Console, Persona Console, Phone Console, and Research Console. All outputs generated through these Tools are user-initiated and user-controlled.
By using these Tools, you agree and understand that:
- You are the sender. Any message, call, or letter delivered through our system is initiated and approved by you. Loophole does not represent you or communicate on your behalf.
- Loophole is not a law firm. Our Tools do not provide legal advice, and generated messages may include errors, assumptions, or language that should be reviewed and edited before use.
- You are responsible for review. Loophole tools, including AI-powered features like Compose Console, may assist in drafting language based on your input (in a manner similar to other writing assistants), but you are solely responsible for reviewing, approving, and sending it.
- Loophole does not guarantee results. Use of a Tool does not ensure that a message will be received, acted upon, or produce any specific outcome.
- Automated communications must comply with law and platform policy. You may not use Tools to send fraudulent, abusive, impersonated, or unauthorized communications.
Use of Loophole’s Tools is entirely at your own discretion and risk. If your request involves legal rights, financial disputes, reputational harm, or regulatory issues, you are responsible for consulting an appropriate licensed professional before taking action.
Tool Action Governance, Rate Limiting & Refusal Rights
- Problem Statement Control. When you initiate a workflow, Loophole will memorialize the core objective and constraints of your request (the “Problem Statement”). If you later attempt to materially change the objective, target, tone, channel mix, or escalation posture, Loophole may (a) refuse to proceed, (b) require a new engagement or additional Tool Action Credits, or (c) re‑scope the matter using the Research Console (billed as an additional Tool Action).
- Right to Pause, Throttle, or Stop. Loophole may pause, throttle, or stop any Tool Action, follow‑up sequence, or automation schedule at any time, at its sole discretion, including (without limitation) where we detect:
- harassment, spam, or abusive repetition (ex: “call them 10 times in a row”);
- legal, regulatory, or policy risk;
- safety, reputational, or platform‑integrity concerns;
- a divergence from the original Problem Statement; or
- signals that continued execution is unlikely to be productive.
- Rate Limits & Anti‑Spam Controls. Loophole may enforce hard and/or dynamic rate limits on calls, emails, faxes, mailings, or portal submissions, including maximum attempts per recipient, per channel, or per time window. These controls apply even if you enable “autoplay.”
- Autoplay Is Not Unlimited Authority. Enabling autoplay or pre‑authorizing certain action types does not waive Loophole’s right to intervene, delay, or cancel queued actions.
- Billing on Paused/Stopped Workflows. Tool Actions already executed (or legitimately prepared for execution) before a pause/stop are not refundable. Queued actions that Loophole cancels will not be charged unless substantial preparatory work was completed (ex: multi‑step research, drafting, or technical setup), in which case such work may be billed as one or more Tool Actions.
- Initial Research Evaluation (First 24 Hours)
Every Loophole AI & Tools order begins with one Tool Action Credit being applied to the Research Console. This step gathers all relevant data, requests any necessary documents, and formulates a comprehensive gameplan. If we determine during this stage – within the first 24 hours – that we cannot assist further (due to missing evidence, policy restrictions, or low probability of success), we will cancel your order and issue a partial refund of $140 out of the $150 purchase price.
The $10 charge reflects the value of the Research Console analysis and is not refundable. The $140 refund will be returned to your Available Credit Balance for use on future services or account fees. Refunds will not be issued to your original payment method.
If you wish to appeal a decision to cancel your case, you may use the “Appeal This Decision” button found on your order page to request a manual review. - Escalation & Re‑Strategy Costs. If you request a new direction, escalation, or materially different objective, Loophole may require additional Tool Action Credits and/or a new scoped engagement. The Research Console may be triggered and billed to reassess strategy.
- No Duty to Explain Refusals. While we generally try to provide context, Loophole may decline, pause, or terminate Tool Actions without prior notice or detailed explanation where risk, abuse, or misalignment is evident.
AI Solutions
Certain features within our platform, including the AI-powered suite known as AI Solutions, are currently in beta and may not be available to all users. These services are not activated by default and access is not guaranteed, even for users with approved Loophole accounts. Some tools may be temporarily unavailable, restricted to specific use cases, or require a separate access request after account creation. We reserve full discretion over when and how these beta tools are made available, including limiting access based on risk factors, system load, or product readiness. No user is entitled to beta tool access, and inclusion in the AI Solutions beta is not implied by account creation, payment, or platform participation. Public launch timelines are not guaranteed.
Call Recording Feature
Some tools, such as Phone Console and Call Automator, may include an optional call recording function. If you choose to enable this feature, you are solely responsible for ensuring that such use complies with all applicable laws, including any consent or notice requirements in your jurisdiction. Loophole does not provide legal advice, and it is your obligation to determine whether call recording is lawful in your specific circumstances.
Account & Eligibility
To access Loophole services, you must register for an account and meet our eligibility criteria. By signing up, you confirm that:
- You are at least 18 years old (or the age of legal majority in your jurisdiction).
- You have full legal capacity to enter into binding agreements.
- You are located in the United States, Canada, or the United Kingdom.
- All information you provide is accurate and not misleading.
- You will not use Loophole to impersonate others, misrepresent your identity or authority, or commit fraud.
Account Types
Loophole accounts operate under a tiered system based on identity status, billing status, and platform behavior:
- Waitlist. You can browse services, submit limited quote requests, receive platform updates, and submit an application. Waitlist users do not have access to restricted or premium services, and are not charged any fees.
- Pending. After depositing the required minimum funds ($500) into your account balance, your account enters Pending status. You may be required to complete additional verification (ex: proof of business ownership, ID check, eligibility form). No monthly fee is charged while your account is still in pending status.
- Active. Once your application is approved, your account transitions to Active status. At this point, your account becomes fully operational, and your Monthly Account Fee is immediately charged to your Available Credit Balance. This monthly fee recurs automatically every 30 days thereafter, regardless of service usage.
- Frozen. Accounts may be moved to Frozen status for reasons including: failure to maintain a positive balance, suspected policy violations, abusive behavior, excessive risk signals, or administrative intervention. While Frozen, access to premium services is suspended and new requests cannot be submitted until the issue is resolved and the account is restored to good financial standing.
- Flagged: Temporary protective status triggered by automated security systems. Account access is suspended pending manual review. May be restored, moved to Locked, or declined/refunded based on findings. Loophole may not disclose specific detection patterns.
- Locked: Permanent account restriction due to confirmed violations. Access to all tools and services is terminated. Appeal process available but reinstatement is not guaranteed.
We may limit, downgrade, suspend, or terminate accounts at our sole discretion to protect our platform, enforce our policies, or reduce fraud or abuse. Creating multiple accounts without written permission is prohibited and may result in permanent bans.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If we detect account sharing or credential abuse, we may suspend or close your account without notice.
IP Reputation & Access Restrictions
To protect the integrity of our platform and reduce fraud or abuse, Loophole uses IP intelligence services (such as Scamalytics and Cloudflare) to assess the risk level of incoming connections. If your IP address is flagged as high risk, access to certain features – including login, account creation, and the main search prompt – may be automatically restricted.
This may occur if:
- You are using a VPN, proxy, or hosting provider commonly associated with suspicious activity;
- Your IP address has been linked to known fraud patterns or abusive behavior;
- Your network reputation falls outside acceptable thresholds for platform access.
If you’re experiencing access issues, we recommend first disabling any VPN or proxy and switching to a standard home or mobile network. You can also check your IP risk profile directly at Scamalytics.com to see if your IP is listed as high risk.
Loophole is not responsible for access issues arising from your choice of network or VPN provider. If you are unable to access your Loophole account, please email [email protected] using the email address we have on file. In some cases, we may be able to manually review and whitelist your IP after verification.
Fees, Billing & Payment Terms
Access to Loophole Services requires an active account in good financial standing. By using the platform, you agree to the following billing and payment policies:
Prepaid, Nonrefundable Available Credit Balance
When you add funds to Loophole (credit card, ACH, crypto, or other accepted method), they are converted into your Available Credit Balance (the “Balance”). All deposits to your Balance are final and non‑refundable, except where required by law or if Loophole expressly agrees in writing. This includes, without limitation:
- Service deposits
- Credit top-ups or preloads
- Unused funds remaining in closed accounts
Exception: If your account application is declined during the Pending review process, the initial $500 deposit will be refunded in full to your original payment method.
You are solely responsible for ensuring that you intend to use Loophole Services before adding funds. We only deduct charges from your Balance. Your payment method on file is never billed automatically – even if your Balance runs out. To continue using Services, you must manually add funds to restore your Balance.
Monthly Account Fees (Auto-Deducted)
All accounts are subject to a recurring monthly platform fee, automatically deducted from your Balance:
- Personal Accounts: $29/month
- Business Accounts: $99/month (+$10/mo per additional location/entity)
This fee recurs on a rolling 30‑day cycle while your account is active, regardless of usage. If your Balance is insufficient, Loophole may downgrade, freeze, or restrict your account until payment is resolved.
Loophole AI & Tools + Tool Action Credits
Loophole AI & Tools is priced at $150 and includes 10 Tool Action Credits (“TACs”). After the included 10 TACs are consumed, additional TACs are $10 each. TACs are non‑refundable and non‑transferable.
A “Tool Action” is a discrete use of a Loophole Tool (ex: an email sent, a phone call placed, a letter mailed, a fax sent, a browser or research console action, or a composed document), unless otherwise stated. You will be shown (or can reasonably determine) the number of TACs a workflow will consume before you run it.
Your Problem Dashboard is included free for the first 30 days. After that, a small daily maintaince fee applies to keep your Problem Dashboard active. The daily fee begins automatically on day 31 after your Problem Dashboard is created. 0.033 Research Console credits are charged each day. The daily fee applies to both active and paused problems. Pausing a problem does not stop the maintenance fee.
Case Acceptance & Refund Policy (Loophole AI & Tools)
Loophole does not accept every case. Before any order is fully accepted or charged beyond the intake process, our internal systems assess whether we are likely to help you reach your stated goal or desired outcome. If, based on our analysis, we determine your objective is not achievable through our tools or strategies, your order will not be accepted or will be canceled during the early review phase.
However, acceptance of an order does not guarantee success. Some outcomes depend on third-party discretion, timing, or variables beyond our control. We only accept cases where we believe we can materially improve your odds, but results are never promised unless explicitly stated otherwise.
Service Charges & Billing Models
Individual services may be billed in one or more of the following ways:
- Flat Rate: One-time fee deducted upon submission
- Tiered Pricing: Variable fee based on input complexity or turnaround speed
- Usage-Based: Charges based on output volume, staff time, or workflow steps
- Subscription or Retainer: Recurring billing with defined usage limits or scope
Pricing is disclosed before submission. You must maintain a sufficient Balance to cover estimated charges. Loophole may place a hold, reserve, or pre‑authorization to prevent abuse.
Promotional Credit (Bug Bounties, Goodwill, Adjustments)
From time to time, Loophole may issue Promotional Credit (ex: bug bounty rewards, goodwill, error adjustments, or other discretionary credits). Promotional Credit:
- Has no cash value, is non‑refundable, and non‑transferable
- May only be used on the platform like your Balance
- May be applied before (or after) user‑funded Balance, at Loophole’s discretion
- May expire or be revoked
To help improve platform quality and stability, Loophole offers account promotional credits for users who report legitimate, reproducible bugs through our official Bug Report popup (accessible via the “Report Bug” button at the bottom of the site). These are issued as nonrefundable Promotional Credit and added to your Available Account Balance.
Reward Tiers (Bug Bounties)
- Tier 1: Cosmetic ($10 – $15 promotional credit)
Minor issues such as typos, broken links, visual glitches, or layout inconsistencies. - Tier 2: Functional ($25 – $50 promotional credit)
Bugs that affect feature performance – such as form submission failures, logic errors, or interface malfunctions. - Tier 3: High Impact ($75-$150 promotional credit)
Serious issues involving billing inaccuracies, account state errors, or broken service workflows. - Tier 4: Critical ($200-$500+ promotional credit)
Major vulnerabilities including security flaws, data exposure, or unauthorized access pathways.
Submission Guidelines (Bug Bounties)
- Bug reports must be submitted through the “Report Bug” button located at the bottom of the website.
- Anyone can submit a bug, but only logged-in users are eligible to receive a promotional credit.
- Reports should include a clear explanation of the issue. Screenshots or screen recordings are strongly encouraged.
- Duplicate, vague, or unverifiable reports may not qualify.
Bonus Multipliers (Bug Bounties)
- You may receive +25% bonus promotional credit if you include complete reproduction steps or a clear screen recording.
- Issues involving sensitive data, billing systems, or elevated access pathways may qualify for a +50% bonus promotional credit if responsibly disclosed.
Limits & Abuse (Bug Bounties)
Bug promotional credits are discretionary and not guaranteed. Loophole may deny rewards for low-quality, misleading, or duplicate reports. Users who abuse the system, exploit bugs before reporting, or submit fabricated issues may be disqualified and have their accounts restricted or terminated. We may cap monthly promotional credit totals or suspend the program at any time without notice.
Invoices & Records
Receipts, transaction history, and billing records are available in your dashboard or on written request. Custom invoicing and business tax documentation are available to Business accounts.
Chargebacks & Fraud
Initiating a chargeback, reversal, or unauthorized dispute may trigger immediate suspension, forfeiture of funds, and/or permanent bans. Contact [email protected] first – we aim to resolve issues professionally.
Pricing & Policy Changes
Loophole may modify pricing, fees, or these billing terms at any time. Material changes will be communicated by reasonable means (ex: dashboard notice or email). Continued use of the Services after notice constitutes acceptance.
Prohibited Use Cases
- Legal Services
- This includes lawsuits, cease-and-desist letters, traffic ticket defense, or any task requiring a law license.
- Tax, Financial, or Accounting Services
- We do not assist with IRS matters, tax filings, offshore strategies, investment advice, or financial compliance.
- Impersonate Others or Forge Documents
- No fake identities, doctored images, forged evidence, or misrepresentations of any kind.
- Example: “Provide me with proof of income for a loan”
- Hack or Bypass Access Controls
- We do not break into systems, bypass passwords, or circumvent bans through illegal technical exploits.
- Example: “Access my ex’s Facebook page without them knowing”
- Tamper with Property & Safety Devices
- We do not help with disabling vehicle GPS, breathalyzers, or other mandated hardware.
- Example: “Roll back the mileage on my rental vehicle”
- Immigration
- We do not help with visas, asylum, green cards, or evading ICE.
- Academic Dishonesty or Credential Fraud
- This includes writing essays, resumes, or exams for others, as well as manipulating certifications or employment histories.
- Medical or Mental-Health Diagnosis
- We do not provide prescriptions, diagnostic opinions, or therapeutic directives, or any substantially similar activity intended to achieve the same result.
- Example: “Prescribe me Adderall without a doctor”
- Real Estate Brokerage or Appraisal
- We do not provide licensed brokerage services, formal property valuations, or documents meant to misstate property value
- Example: “Create a document that increases my appraisal so the bank approves a bigger loan”
- Forge Evidence or ‘Create Proof’
- Need to ‘prove’ something that isn’t true? Not here. We work with facts, not fiction.
- Scams or Shell Companies
- No fake entities, fraudulent operations, crypto manipulation, insurance fraud, or other deceptive business tactics.
- Money Laundering or Sanctions Evasion
- Layering schemes, crypto mixers, or dealings with sanctioned entities.
- Law Enforcement Interference
- This includes jail release, bail advice, interfering in investigations, ‘talk to the judge’ requests, or direct involvement in pending charges.
- Theft, Fraud, or Financial-Crime Facilitation
- We do not supply instructions or tools for theft, fraud, or other financial crimes, including card skimming, phishing, or insider trading.
- Example: “Help me install a credit-card skimmer in a gas pump”
- Violence, Sabotage, or Weapons Procurement
- We do not facilitate physical harm, sabotage, or the acquisition or manufacture of weapons or dangerous devices.
- Example: “I want to disable my ex’s brake lights so she gets pulled over”
- Drug Manufacture or Distribution
- We do not assist in creating, packaging, or trafficking controlled substances.
- Example: “Ship fentanyl pills without detection”
- Election or Civic-Process Interference
- Voter suppression tactics, false voting-procedure claims, or hacking election systems.
- Requests Involving Minors
- We do not process requests involving children or minors that are invasive, exploitative, manipulative, or unauthorized. This includes:
- Uploading images of minors in non-public or private settings;
- Attempting to track or locate a minor without clear, verifiable legal custody;
- Interfering in parental, school, or healthcare matters without lawful authority;
- Any request that risks the safety, privacy, or autonomy of a child.
- Example: “Find out where my ex’s daughter goes after school”
- We do not process requests involving children or minors that are invasive, exploitative, manipulative, or unauthorized. This includes:

Any similar activity intended to achieve the same result as a prohibited use case above is also forbidden.
Loophole reserves the unrestricted right, at its sole discretion, to refuse, suspend, or terminate any request or account – in whole or in part – without prior notice, explanation, or liability, whenever we believe the request violates our policies, applicable law, or our business interests.
Client Fit Policy (aka: The “We Solve Real Problems”)
Loophole is a platform for intelligent strategy – not grievance outsourcing. We reserve the right to reject or discontinue any request that:
- Seeks to punish others for harmless behavior (like neighbors hosting a cookout);
- Attempts to enforce personal taste, silence joy, or suppress community expression;
- Reflects a pattern of intolerance, aesthetic micromanagement, or hostility masked as policy enforcement.
Loophole exists to solve meaningful, high-impact problems – not to facilitate personal vendettas or weaponized nitpicking. If your objective is rooted in control, spite, or disruption without legitimate harm, we will decline the request.
User Obligations
By using Loophole, you agree to the following responsibilities:
Provide Accurate Information
You agree to provide truthful, complete, and up-to-date information when registering, submitting requests, or communicating with our team. Falsifying facts to manipulate outcomes or mislead our staff, systems, or partners is strictly prohibited.
Use Loophole Responsibly
You may only use Loophole for lawful, ethical, and policy-compliant purposes. You will not:
- Use Loophole to facilitate fraud, impersonation, harassment, or harm to others.
- Submit requests that violate our Prohibited Use Cases or attempt to disguise such intent.
- Use outputs as legal, financial, or medical advice, or rely on them as authoritative fact without independent verification.
Respect Platform Boundaries
You may not reverse-engineer, scrape, overload, exploit, or bypass Loophole systems, rate limits, or security protocols. You may not share accounts, resell services without authorization, or use Loophole in a way that could degrade system integrity or user safety. You may not reproduce, share, or distribute Exclusive Content outside the platform or with unauthorized individuals.
Review Results Carefully
Loophole strategies often depend on nuance, timing, and human interpretation. You are solely responsible for reviewing, evaluating, and verifying any outputs, templates, or guidance before applying them in the real world. If a service outcome has legal or high-stakes implications, you must consult a qualified professional before acting on Loophole-generated content. You must not use any output relating to a third party for any purpose that could have a legal or material impact on that person – such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them – without independent professional verification.
Don’t Brute‑Force Outcomes
You agree not to direct or encourage excessive, harassing, or spam‑like Tool Actions (ex: repeated calls/emails in rapid succession) and acknowledge Loophole may cap, pause, or refuse such actions at its sole discretion.
Use Your Own Account
Loophole accounts are intended for direct use by the verified account holder only. You may not submit requests, operate tools, or use Services on behalf of another person unless you are an approved agency partner, an authorized legal representative, or have received prior written authorization from Loophole. Using your account to act on behalf of someone else without authorization may result in immediate account suspension or permanent termination.
Accept Accountability
You are responsible for the actions you take (or fail to take) based on our outputs. Loophole is not liable for third-party decisions, policy enforcement, legal outcomes, or missed opportunities resulting from your use of the platform.
If you misuse Loophole, violate these Terms, or present a risk to our community, we may suspend or terminate your account at our discretion.
AI & Image Processing
Loophole uses artificial intelligence (AI) technologies – including chatbots, automated assistants, prompt engines, image processors, and language models – as part of certain services. These tools may be used to generate drafts, structure strategies, analyze uploaded content, or automate common workflows.
Limitations of AI
AI-generated content is provided for informational and operational support only. It may include errors, outdated information, or responses that do not reflect the law, current policy, or Loophole’s own views. You agree not to rely on AI outputs as a substitute for legal, financial, or professional advice.
- AI is not always accurate, neutral, or appropriate.
- AI may reflect bias, hallucinate facts, or produce offensive content.
- Loophole does not guarantee results based on AI usage.
You are responsible for verifying any AI-generated information before acting on it.
Style Fidelity Disclaimer: While Your AI strives to match your indicated tone, style, and escalation preferences, Loophole does not guarantee that every output will perfectly reflect your intended style or emphasis. You are solely responsible for reviewing and editing drafts to ensure they meet your needs before sending.
User Content & Prompts
By submitting prompts, uploads, or requests involving text, images, documents, or voice data (collectively, “User Input”), you grant Loophole a license to process, store, analyze, and use that content to deliver services. You represent that:
- You have the right to share any content you upload;
- Your input does not contain sensitive or regulated personal information (ex: social security numbers, medical records, etc.) unless explicitly requested by Loophole;
- You will not upload illegal content or use our tools to generate it.
Your AI Style Profile. By completing the Your AI Style Profile, you authorize Loophole to store and use your provided preferences, tone selections, and style indicators to personalize AI‑generated drafts. This profile information is used solely to customize outputs you request and is not shared externally except as required to provide the service. You can edit or delete individual answers in your Style Profile at any time. You can also delete your entire Style Profile instantly by clicking the “Delete All Content” button in your dashboard. Once deleted, this information is removed from our active systems and cannot be used to personalize future outputs.
Image Uploads & Facial Analysis
Some Loophole features allow you to upload or generate images. If you choose to upload images containing identifiable individuals, you represent that:
- You have consent to use those images for the purpose of your request;
- You will not upload images of individuals located in jurisdictions with restrictive biometric or privacy laws (ex: Illinois, Texas) unless you are legally authorized to do so;
- You understand that we may analyze image content – including facial attributes, expressions, or metadata – for classification or enhancement purposes.
We do not use facial data for surveillance, identity recognition, or unauthorized behavioral profiling.
Voice and Tool Integration. If you choose to integrate Your AI with voice synthesis or live call tools (such as Call Automator or Phone Console), you acknowledge that Loophole may replicate your tone and style for communications you explicitly approve. You are solely responsible for ensuring that any such use complies with applicable consent, notice, and privacy laws in your jurisdiction.
No Image Uploads Involving Minors
You may not upload, analyze, or generate images containing identifiable minors (under 18) unless:
- You have verifiable legal custody or documented parental consent;
- The image was taken in a clearly public setting (ex: news event, public space) without expectation of privacy;
- The image is directly relevant to a lawful, self-related service request (ex: your own child’s school appeal), and does not involve surveillance, harassment, or misrepresentation.
Loophole reserves the right to block, delete, or decline any image upload that appears to involve children – especially in domestic, private, or sensitive contexts.
Use of our platform to locate, analyze, or exploit images of minors without proper legal authority is strictly prohibited. Any such use may be reported to law enforcement or child protection authorities without notice.
Use of Data to Improve Systems
Unless you opt out (where available), Loophole may use anonymized prompt data and interaction logs to improve our models, refine performance, and monitor for abuse. No personally identifying information will be retained or used for training without your explicit consent.
Third-Party AI Tools
Some AI services may incorporate third-party models, APIs, or processing engines (ex: OpenAI, AWS Rekognition, etc.). Those tools are governed by their own terms and may be subject to change, rate limits, or deprecation. Loophole is not responsible for the availability or accuracy of outputs from third-party integrations.
AI Solutions (Beta Access)
Loophole’s AI Solutions are AI-powered, self-serve tools currently in beta. These features are experimental, may be limited in availability, and are not activated by default – even for users with Active paid accounts.
Some AI Solutions require manual approval, eligibility checks, or a separate request before activation. Inclusion in the beta is not guaranteed and may depend on account status, system load, risk signals, or internal criteria. Access can be restricted, revoked, or paused at any time. No user is entitled to beta tool access by default. Creating a Loophole account or making a payment does not guarantee access to these features. Public rollout timelines are tentative and subject to change.
Pricing, guarantees, and specific usage terms vary by tool and are shown prior to submission. If a tool includes a performance guarantee (such as “100% Success Guarantee”), it applies only to that tool and only under its specific terms.
Intellectual-Property Rights
Ownership of Loophole Content
All content, workflows, strategies, software, visuals, documentation, branding, blog posts, articles, Exclusive Content, and tools provided by Loophole – including any AI-generated content, proprietary frameworks, or interface elements – are the intellectual property of Loophole LLC or its licensors. This includes, but is not limited to:
- Proprietary templates, tactics, and scripts;
- Custom language models or automations;
- Site design, trademarks, and business methods.
Use of Loophole does not grant you ownership over any of our content, systems, or IP. You may not reproduce, resell, distribute, modify, or reverse-engineer any part of Loophole’s services without explicit written permission.
Certain content, including blog posts or articles designated as “Exclusive” is restricted to users with an Active Loophole account. Exclusive Content is proprietary and confidential. You may not reproduce, copy, screenshot, distribute, forward, repost, share, or otherwise make Exclusive Content available to any person who does not have independent, authorized access through their own Active Loophole account – whether in full, in part, or in summarized form, and regardless of medium. Violation of this provision constitutes a material breach of these Terms and may result in immediate account termination and forfeiture of your Available Credit Balance.
User Content
You retain ownership of any lawful original content, requests, or assets you submit to Loophole (“User Content”), but by submitting it, you grant us a worldwide, non-exclusive, royalty-free license to use it:
- To fulfill your request;
- To provide and improve our services;
- To comply with legal obligations or enforcement requests.
This license extends to AI training only where permitted by our Privacy Policy or with your explicit consent.
Output Ownership
In most cases, you own the final output we generate for you (except where we use third-party models with different terms). However, Loophole retains ownership of the underlying methods, systems, and tools used to produce that output. We may reuse de-identified patterns or solutions unless a custom IP agreement is signed. Due to the nature of artificial intelligence, outputs generated through our Services may not be unique. Other users may receive similar or identical outputs from our platform. Your ownership of output does not extend to other users’ independently generated output.
Confidentiality & Data Handling
Confidential Information
Any information you provide to Loophole that is non-public, sensitive, and clearly marked (or treated) as confidential will be handled with care. This includes proprietary business information, strategic goals, private legal issues, or other data you intend to keep out of public view.
We agree not to disclose your confidential information to third parties except:
- As required to provide the services you requested;
- To our vetted contractors or tech partners under strict confidentiality;
- As required by law, subpoena, or government order.
We will take commercially reasonable measures to safeguard confidential information, but no platform can offer absolute data security.
AI & Content Retention
AI-generated interactions, including prompts and responses, may be stored to enhance service quality, resolve disputes, or monitor for abuse. Users can request deletion of this data where applicable under law, but some interactions may be retained in anonymized form for internal training or diagnostics unless you have opted out.
User Responsibilities
You agree not to share highly sensitive personal data (ex: medical records, credit card numbers, government IDs) unless explicitly requested by a secure feature. Loophole is not a regulated entity (ex: HIPAA, FINRA) and cannot offer industry-specific confidentiality guarantees unless stated in writing.
Enterprise & Verified Accounts
Loophole offers enhanced privacy and discretion for Verified Accounts and select enterprise clients. These users may receive:
- Priority data protection;
- Reduced AI training inclusion;
- Optional NDAs or data-retention controls.
If you require a confidentiality agreement beyond our standard protections, contact us directly to initiate a custom data-handling arrangement.
Availability & Modifications
Service Availability
Loophole is an evolving platform, and while we aim to keep our services accessible and stable, we do not guarantee uninterrupted availability. Access to specific features – whether AI-driven, human-assisted, or hybrid – may be limited, suspended, or delayed due to:
- Maintenance, upgrades, or infrastructure changes;
- Third-party platform restrictions or outages;
- Abuse prevention, account issues, or technical failures;
- Regulatory action, legal risk, or internal policy review.
We are not responsible for any damages or losses resulting from service downtime, interruptions, or reduced functionality.
Modification of Services
We may modify, expand, limit, or discontinue any aspect of our Services – temporarily or permanently – at any time and for any reason, with or without notice. This includes but is not limited to:
- Updating pricing, feature access, or service formats;
- Retiring deprecated strategies or tools;
- Modifying how AI or human input is used in solutions;
- Adjusting turnaround times or response protocols.
If a material change affects your existing paid request, we will attempt to notify you or offer a resolution (ex: refund or alternate option), but are under no obligation to maintain prior versions of any service.
Rapid Iteration Disclaimer
Because Loophole is designed to push boundaries in legal-adjacent creativity, systems and processes may change quickly. You acknowledge that by using Loophole, you are engaging with a dynamic service model where responses, strategies, or available offerings may evolve rapidly in response to:
- Legal/regulatory shifts;
- Platform terms of use (ex: Yelp, LinkedIn, government agencies);
- Emerging case outcomes, loophole closures, or policy patches;
- Improvements in technology or tactics.
You agree that it is your responsibility to review current offerings, disclosures, and policies before relying on any guidance or submitting a request.
Disclaimer of Warranties
Loophole provides its services, content, AI responses, human input, strategies, and tools “as-is” and “as available”, without warranties of any kind – express, implied, or statutory.
We do not make any guarantees about:
- The accuracy, legality, or usefulness of responses or deliverables;
- The timeliness, reliability, or continuity of any feature or result;
- The success rate of any particular strategy, request, or workaround;
- Whether a third party (ex: platform, agency, company, reviewer, court) will respond the way you want – even if they previously have.
Where AI is involved, you acknowledge that outputs may contain inaccuracies (“hallucinations”), outdated references, or unpredictable phrasing. Loophole does not guarantee the truth, legality, or alignment of any AI-generated output with your intended purpose.
Loophole may publish blog posts, articles, guides, case studies, and other written content on its website or affiliated channels. All published content reflects the opinions, observations, and firsthand experiences of Loophole and its contributors, is provided for informational and educational purposes only, and does not constitute legal, financial, medical, or professional advice. Some published content may be generated or assisted by artificial intelligence. You are solely responsible for independently verifying all information before acting on it. Loophole is not liable for any decisions, actions, or outcomes resulting from your reliance on published content. Results described in published content are not guaranteed and may not be representative of typical outcomes.
To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment;
- Any warranties arising out of course of dealing or usage of trade;
- Any implied guarantee that our guidance will result in a specific outcome or avoid legal or regulatory consequences.

You accept and agree that any use of outputs from our Services is at your sole risk, and you will not rely on any output as a sole source of truth or factual information, or as a substitute for professional advice.
Limitation of Liability
To the maximum extent permitted by law, Loophole and its affiliates, officers, employees, contractors, agents, and partners will not be liable for any:
- Indirect, incidental, special, consequential, punitive, or exemplary damages;
- Lost profits, lost business opportunities, lost data, or reputational harm;
- Damages resulting from third-party decisions or platform policies (ex: Yelp, LinkedIn, government agencies, financial institutions);
- Errors, omissions, or consequences arising from user-provided inputs or automated message delivery;
- Misuse of automation tools such as Call Automator, Email Sender, or any user-deployed content;
- Claims related to reliance on or misuse of AI-generated or human-curated content;
- Delays, service interruptions, or unavailability of any tool, system, or staff.
Our total cumulative liability for any claim arising out of or relating to the Services – regardless of the form of action or theory of liability – shall not exceed one hundred dollars ($100 USD), even if Loophole has been advised of the possibility of such damages.
These limitations apply regardless of the legal theory – whether based in contract, tort, negligence, strict liability, or otherwise – even if we were advised of the possibility of such damages.
Certain jurisdictions do not allow exclusions of implied warranties or limitations on liability for consequential or incidental damages, so some of these disclaimers may not apply to you. In such cases, Loophole’s liability will be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Loophole, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Services;
- Your violation of these Terms, any applicable law, or the rights of a third party;
- Content or materials you submit, request, or implement using Loophole;
- Any reliance on AI-generated or human-guided responses that causes harm, confusion, or dispute;
- Your attempt to execute strategies that are unlawful, misrepresentative, or outside the scope of our intended use.
We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate in good faith with our defense of such claims.
Termination & Suspension
Our Right to Suspend or Terminate
Loophole reserves the right to suspend or terminate your access to the Services at any time, for any reason, including (but not limited to):
- Breach of these Terms or any applicable law;
- Attempts to abuse, reverse-engineer, resell, or interfere with our systems, tools, services, or staff;
- Repeated submission of prohibited or malicious requests;
- Legal, regulatory, or risk concerns associated with your activity;
- Non-payment or chargebacks on paid services;
- Unauthorized reproduction, distribution, or sharing of Exclusive Content.
Suspension may be temporary or permanent, and may apply to specific features, tools, accounts, or entire access.
Your Right to Cancel
You may stop using the Services at any time. If you have a paid request or subscription, cancellation terms are outlined in our Fees, Billing & Payment section. In most cases, payments are non-refundable except where expressly guaranteed or required by law.
Account Inactivity or Abuse
Loophole may disable or archive inactive accounts after a prolonged period of non-use or if we detect signs of automation, scraping, or abuse.
Operational Stops.
Loophole’s decision to pause, throttle, or refuse individual Tool Actions under Tool Action Governance, Rate Limiting & Refusal Rights does not require account termination or suspension. We may halt actions while keeping your account otherwise active.
Governmental or Legal Requests
If Loophole is contacted by a government agency, regulatory authority, or law enforcement body regarding your activity on the platform, we may suspend or terminate your account at our sole discretion, without prior notice. We may also cooperate with such authorities as permitted or required by law, including providing information where legally compelled to do so.
Dispute Resolution
Informal Resolution First
Before initiating legal action, you agree to attempt to resolve any dispute with Loophole informally by contacting: [email protected]. We’ll do our best to address your concerns within 30 days. If we cannot resolve the issue within 30 days, either party may proceed with formal dispute resolution.
Binding Arbitration
If you reside in the United States or another jurisdiction where arbitration is permitted, you and Loophole agree to resolve any claims or disputes through final and binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English and in a mutually agreed location or via videoconference.
You waive the right to a trial by jury and to participate in class actions.
Exceptions
The above arbitration clause does not apply to:
- Small claims cases that qualify for small claims court;
- Requests for injunctive or equitable relief relating to misuse of our IP, access controls, confidential materials, or data integrity.
Governing Law
These Terms and any related dispute shall be governed by the laws of the State of California, excluding its conflict-of-law rules. Venue for any permitted court claims shall lie in the state or federal courts of Los Angeles County, California, unless another forum is required by law.
Electronic Communications
By using Loophole, you consent to receive communications from us electronically – including via email, text, phone, and in-app messages. These communications may include receipts, notices, alerts, updates, support messages, marketing content, or other information related to your account or activity.
You agree that all electronic communications from Loophole satisfy any legal requirement that such communications be in writing. You are responsible for maintaining accurate contact details and for regularly checking your email and messages associated with your Loophole account.
SMS Messaging Program
Loophole may send SMS messages to users who have opted in during account registration or via their Notification Settings at loophole.com/my-account/settings. Messages may include security alerts, account activity updates, and customer support responses.
- You can cancel SMS messages at any time by replying STOP. You will receive a confirmation that you have been unsubscribed.

- Carriers are not liable for delayed or undelivered messages.

Changes to Terms
We reserve the right to modify these Terms at any time, for any reason – including to reflect changes in our Services, business model, legal obligations, or risk tolerance.
When we update the Terms, we will post the revised version with an updated “Last Modified” date. If changes are material, we may also notify you via email or platform notice. Unless otherwise required by law, continued use of Loophole after changes go into effect constitutes your acceptance of the updated Terms.
If you do not agree to the new Terms, you must stop using the Services and may request account closure.
Force Majeure
Loophole is not liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond our reasonable control. This includes, but is not limited to: natural disasters, pandemics, government actions, internet outages, labor strikes, supply chain failures, cyberattacks, war, terrorism, or other major disruptions.
If a force majeure event continues for more than thirty (30) days, we reserve the right to suspend or cancel affected services without liability.
